TSX Venture approves two service agreements

Alaska Energy Metals Corporation said the TSX Venture Exchange has approved its engagement of Gold Standard Media, LLC for financial publishing and digital marketing services and Commodity Partners Inc. for financial advisory services. The company said the Gold Standard mandate runs for 90 days and carries a cash fee of USD$150,000, while the Commodity Partners agreement is for an initial 12 months at CAD$9,000 per month.

The announcement follows the company’s November 6, 2023 news release and adds another layer to the capital-markets and investor-relations work surrounding Alaska Energy Metals as it advances its corporate strategy.

Equity-linked consideration expands potential dilution

The agreements include share and warrant issuances tied to the company’s proposed acquisition of 1413336 B.C. Ltd. Certain affiliates and related parties to Gold Standard currently own 1,000,000 shares of the company and will receive an additional 4,081,082 shares and 540,541 share purchase warrants in connection with the transaction.

Each warrant will be exercisable for two years from issuance at $0.80 per share, creating additional potential dilution if exercised.

Escrow terms set staggered release schedule

Under the terms disclosed by the company, 1,081,082 of the Gold Standard-related shares will be subject to a 60-day escrow period. The remaining 3,000,000 shares will follow a three-year escrow release schedule, with 10% releasable on closing of the 1413336 B.C. Ltd. acquisition and 15% releasable every six months thereafter on the 6, 12, 18, 24, 30 and 36 month anniversaries of closing.

The staged release structure limits immediate float expansion, although the longer-dated unlocks could become relevant for trading liquidity and supply dynamics over time.

Commodity Partners also receives shares and warrants

Commodity Partners currently owns 407,110 shares and 300,000 stock options of the company. In connection with the acquisition of 1413336 B.C. Ltd., it will acquire an additional 290,000 shares and 145,000 warrants.

Separately, certain affiliates of Commodity Partners will acquire 7,372,974 shares and 686,486 share purchase warrants on closing of the acquisition. The warrants will carry the same two-year exercise period and $0.80 strike price structure disclosed in the Gold Standard arrangement.

Additional escrow provisions apply to Commodity Partners holdings

Of the Commodity Partners-related share issuance, 1,662,973 shares will be subject to a 60-day escrow period. The remaining 6,000,001 shares owned by Commodity Partners and its affiliates will be subject to a three-year escrow release schedule.

As with the Gold Standard-related securities, 10% of the escrowed securities will be releasable on closing of the acquisition, followed by 15% releases every six months thereafter on the 6, 12, 18, 24, 30 and 36 month anniversaries of closing.

Strategic context remains tied to 1413336 B.C. Ltd. acquisition

The company said investors should refer to its September 21 and November 6, 2023 news releases for additional information on the proposed acquisition of 1413336 B.C. Ltd. and the Gold Standard engagement. The latest announcement does not disclose a closing date for the transaction.

Alaska Energy Metals describes itself as focused on delineating and developing a large polymetallic exploration target in Interior Alaska containing nickel, copper, cobalt, chrome, iron, platinum, palladium and gold. The project is positioned near existing transportation and power infrastructure, which the company says could support development as a domestic source of critical and strategic energy-related metals.

Investor takeaway

For investors, the key implications are the added corporate-development costs, the issuance of equity-linked consideration, and the potential for future dilution from warrants and escrowed share releases. The structure also suggests the company is continuing to build out advisory and promotional support as it works through the proposed acquisition.

The TSX Venture Exchange and its Regulation Services Provider accepted no responsibility for the adequacy or accuracy of the release.
