A $1 Billion Merger. A Royalty Spinoff. Both on the Same April Day. The Seafloor Is Being Repriced

On April 8, 2026, two things happened in deep-sea mining that had never happened before.
First, American Ocean Minerals Corporation announced it would merge with Nasdaq-listed Odyssey Marine Exploration (NASDAQ: OMEX) in an all-stock reverse merger valuing the combined entity at approximately $1 billion on a pro forma equity basis.1 The transaction includes over $230 million in equity capital raised, with more than $150 million from a private placement by institutional and strategic investors, plus a $75 million pre-public financing. The combined company is expected to emerge with more than $175 million in cash to advance exploration programs.1 The merged entity will trade on Nasdaq as “AOMC” after a 25-for-1 reverse split of Odyssey’s common stock. Former Rio Tinto CEO Tom Albanese leads AOMC.2
Second, The Metals Company (NASDAQ: TMC) announced the direct listing of The Metals Royalty Company (TMCR), a new publicly listed vehicle holding a 2% gross overriding royalty on TMC’s NORI-D polymetallic nodule project in the Clarion-Clipperton Zone.3
Two discrete institutional-grade events. Same day. Same sector. One sector-defining capital raise. One sector-defining royalty structure.
Capital markets do not casually manufacture billion-dollar merger announcements and royalty spinoffs in niche sectors. They do so when strategic investors have concluded the sector is transitioning from speculation to infrastructure. Deep Sea Minerals Corp. (CSE . SEAS OTCQB . DSEAF), a C$40 million (~US$29 million equivalent) CSE-listed micro-cap, is already in the same U.S. regulatory pipeline the April 8 deals validated.

One April Day
The AOMC–Odyssey merger is what institutional capital looks like when it commits to a sector. Tom Albanese, former CEO of Rio Tinto (one of the three largest mining companies in the world), is leading a public entity targeting polymetallic nodules. The merger raised over $150 million in a private placement from institutional and strategic investors, plus $75 million in a pre-public financing, for a combined equity capital raise exceeding $230 million.9 Pre-merger, Odyssey will divest its Mexican phosphate asset to remove approximately $60 million of related liabilities.10 Significant Odyssey shareholders (approximately 30% of shares outstanding) have entered into voting agreements in favor of the transaction.10 Close is expected late Q2 or early Q3 2026, subject to customary regulatory and shareholder approvals.11
The TMC move on the same day was quieter but structurally important. Direct-listing a royalty subsidiary is how mature mining sectors (gold, silver, copper) access lower-cost capital while preserving optionality on underlying production. TMC’s royalty is on its NORI-D polymetallic nodule project in the Clarion-Clipperton Zone, the same general expanse where SEAS’s NOAA application is targeted.12 A royalty vehicle trades at a premium to the operator because it has no operating costs, no capex risk, and upside leverage to production. By spinning one out, TMC signaled that the underlying production is close enough to justify a financing structure that assumes it.
Two transactions. Same sector. Same day. Both reached prices a speculative sector does not reach. Capital markets are pricing deep-sea mining as infrastructure, not experiment.
What Gets Priced When a Sector Matures
There is a pattern that repeats across resource sectors. At sector inception, valuations are low and discovery risk is the dominant variable. Capital is speculative. As regulatory frameworks solidify and leaders gain credibility, strategic buyers often emerge, potentially driving valuations upward. Secondary capital may then be raised at higher multiples, while royalty vehicles often surface as derivative products. This progression frequently leads to strategic mergers that consolidate the industry pipeline.
The April 8 deals sit squarely in the second phase. Consider the sequence that preceded them:
April 2025: Executive Order 14285 declares seabed minerals a matter of national security and directs NOAA to accelerate permitting.13
January 21, 2026: NOAA finalizes a rule allowing companies to apply for exploration licenses and commercial recovery permits simultaneously, collapsing the licensing timeline for the first time.14
February 2, 2026: EXIM and the White House launch Project Vault, a $12 billion public-private critical minerals reserve covering nickel, cobalt, and rare earths.15
March 9, 2026: NOAA determines TMC USA’s consolidated Exploration License & Commercial Recovery Permit application is in “substantial compliance” with statutory requirements, covering ~65,000 km² of the CCZ with an estimated 619 million tonnes of wet polymetallic nodules.16
April 8, 2026: AOMC–Odyssey merger announced at ~$1B; TMCR direct listing announced.
April 2026: U.S. signs a bilateral treaty with Japan supporting deep-sea mining cooperation.17
The regulatory and capital rails are being laid in sequence. An executive order in April 2025, a rule change in January 2026, a first procedural green light in March 2026, an all-stock billion-dollar merger and royalty listing in April 2026. Each step is independent. Each step reduces the discount applied to the next applicant in the same pipeline.
SEAS’s Response: Staying Ahead of the Ball
While the AOMC–Odyssey merger and the TMCR spinoff were being negotiated and announced, SEAS was not standing still. The company launched its deep-sea strategy on January 26, 2026, five days after NOAA’s rule change. The 60 days that followed were the same 60 days during which Wall Street priced the sector. Here is what SEAS completed in parallel, moving with the macro tape rather than behind it:
March 20, 2026: Submitted a Request for Project Proposal to the U.S. Defense Industrial Base Consortium for the domestic supply of defense-critical nickel and a commercialization plant.18
March 23, 2026: Filed its NOAA exploration license application under the Deep Seabed Hard Mineral Resources Act.19
April 6, 2026: Appointed John G. Vonglis, former Chief Financial Officer of the U.S. Department of Energy, as Strategic Advisor.20
April 8, 2026: Established a wholly owned Cook Islands subsidiary, on the same day AOMC–Odyssey and TMCR hit the tape.21
April 13, 2026: Appointed Dan McConnell as VP Exploration.22
April 15, 2026: Appointed Anthony Zelen to the Board of Directors.23
April 21, 2026: Issued a formal statement recognizing the AOMC–Odyssey transaction as a sector-maturation milestone.24
From strategy launch to the NOAA filing: 57 days. From strategy launch to the Cook Islands subsidiary: 72 days. From strategy launch to today: less than four months. In that window, SEAS filed one of several NOAA applications under the accelerated DSHMRA framework, submitted a U.S. Defense Industrial Base Consortium procurement response, established subsidiaries in two jurisdictions, and added a former DOE CFO, a former DOE advisor, and a new independent director.
This is what staying ahead of the ball looks like at the micro-cap level. The AOMC–Odyssey merger did not get announced in isolation. It got announced inside a sector moving at a tempo SEAS is matching, filing for filing, hire for hire. TMC is further along the curve and listed on Nasdaq. AOMC is going public at approximately $1 billion under a former Rio Tinto CEO. Neither path precludes a smaller, earlier-stage company from operating in the same regulatory pipeline. The CCZ alone contains an estimated 21 billion dry tons of polymetallic nodules, room for multiple participants.25
The Dual-Jurisdiction Architecture
SEAS is one of very few micro-caps pursuing both U.S. and Cook Islands pathways. The Cook Islands holds one of the Pacific’s most established seabed mineral regulatory frameworks, backed by decades of scientific data. China entered the region in early 2025 through deep-sea mining research agreements. The U.S. responded in February 2026 by elevating the Cook Islands to a key strategic partner and aligning the jurisdiction’s mineral regulations with Washington’s critical-minerals security goals.26
On April 8, 2026, the same day AOMC–Odyssey and TMCR hit the tape, SEAS incorporated a wholly owned Cook Islands subsidiary to advance its concession application process.27 The timing was coincidental; the strategic logic was not. A dual-jurisdiction platform reduces single-pathway regulatory risk and positions a company alongside both theatres where U.S. policy attention is sharpest.
The Team and the Structure
Deep-sea mining borrows its operational playbook from offshore oil and gas: riser pipes, dynamic positioning, subsea robotics, operations at 3,000 meters and below. CEO James Deckelman spent 25+ years at ConocoPhillips, BP, and Talisman Energy managing exploration portfolios at those depths across Latin America, the Middle East, and West Africa. He was named to the American Association of Petroleum Geologists’ “100 Who Made a Difference” in 2021.28
In April 2026, three additions sharpened the team’s alignment with the U.S. procurement pipeline: John G. Vonglis (former CFO, U.S. Department of Energy) as Strategic Advisor; Dan McConnell (25+ years deepwater marine geoscience, former DOE advisor) as VP Exploration; and Anthony Zelen to the Board of Directors.29 The capital structure is clean: approximately 23.9 million shares outstanding undiluted, approximately 24.9 million fully diluted, with a recent C$4.22 million capital raise and no legacy warrant overhang. If the DIBC proposal advances, non-dilutive government financing enters the picture.
What Investors Should Pay Attention To
These are micro-cap risks, and they are concrete. SEAS has filed a NOAA application; it has not been granted a license. It has submitted a response to a U.S. DIBC request for proposals; the outcomes are uncertain and the process is lengthy. It has not acquired mineral concessions and has not generated revenue. Commercial-scale deep-sea mining has not yet been proven economically viable by any operator. Environmental opposition is organized. Future U.S. administrations could reverse the current regulatory posture.
These are the facts. Investors in micro-cap resource companies accept that the distance between application and production is long and non-linear.
What is different about this moment is the pricing context immediately surrounding it. On a single day, April 8, 2026, a $1B merger closed above a formal LOI, a royalty listing formalized, and a micro-cap in the same pipeline incorporated its second jurisdictional subsidiary. The capital that decides whether a sector exists has made its determination. The capital that decides how companies inside that sector are repriced is still assessing.
Markets reprice when the gap between strategic reality and market valuation becomes impossible to ignore. That repricing does not follow a schedule. It tends to happen faster than anticipated, and it tends to reward investors who positioned themselves before the narrative became consensus.
The sector just got repriced. SEAS trades at ~C$46 million.
The Seafloor Is Being Repriced. SEAS Is Already in the Same Waters.

Due to the speculative nature of the companies presented, there is a possibility that a reader’s entire investment could be lost or significantly impacted. Never invest in securities of a company featured or discussed on this website unless you can afford to lose your entire investment. Furthermore, investing in micro-cap securities is highly speculative and carries an extremely high level of risk. smallcapinvestments.com does not recommend that readers who learn about the companies featured or discussed on this website buy, sell, or hold them. smallcapinvestments.com was commissioned by an independent third party for a limited period to provide advertising, marketing and sales promotion services in relation to the company presented or discussed on this website and received a cash payment from this third party for this purpose.
Resource exploration and development is highly speculative and involves a variety of significant inherent risks that could prevent projects from being successfully developed for commercial, technical, political, regulatory, or financial reasons, or—even if successfully developed—from remaining economically viable over the lifetime of a mine for any of the aforementioned reasons. There is no guarantee that Deep Sea Minerals Corp will be able to generate a return on shareholders’ investments. Prospects for success should be assessed in light of the company’s early stage of development.
Deep Sea Minerals Corp ability to identify resources of sufficient quantity and quality to justify development efforts, and/or its ability to commence and complete development work and/or to initiate and/or maintain commercial production operations in any of its projects, depends on numerous factors, many of which are beyond the company’s control. These include, but are not limited to, exploration success, securing financing for all phases of exploration, development, and commercial mining, the adequacy of infrastructure, the geological and metallurgical characteristics of the deposits, the availability of processing technologies and capacities, the availability of storage capacity, the supply of and demand for gold and other minerals, the availability of equipment and facilities required to commence and complete development, the cost of consumables and mining and processing equipment, technological and engineering problems, accidents, acts of sabotage or terrorism, civil unrest and protests, currency fluctuations, regulatory changes, water availability, the availability and productivity of a skilled workforce, obtaining necessary permits, licenses, and licenses (including mining licenses), and political factors, including unexpected changes in government or government policy regarding exploration, development, and commercial mining activities.
Furthermore, cost overruns or unexpected changes in commodity prices during future development could render projects uneconomical, even if they were previously deemed viable in feasibility studies. Therefore, regardless of positive results from one or more feasibility studies for the projects, there is a risk that Deep Sea Minerals Corp may not be able to complete development and commence commercial mining operations on one or more properties, which could have significant adverse effects on the company’s business, financial condition, operating results, and future prospects.

This publication is a marketing communication and part of a promotional campaign of the issuer Deep Sea Minerals Corp and is directed at experienced and speculation-oriented investors.
The present communication must under no circumstances be regarded as independent financial analysis or even investment advice, as significant conflicts of interest exist that may impair the objectivity of the creator (see section “Interests / Conflicts of Interest” below).
The prices stated for discussed securities are, unless otherwise indicated, closing prices of the last trading day prior to the respective initial distribution.
Interests/Conflicts of Interest
The Distributor receives from the issuer a fixed compensation for the distribution of the marketing communication. The Distributor and/or companies affiliated with it have been commissioned by the issuer or its shareholders to prepare the present marketing communication. Due to the commissioning by the issuer, the independence of the communication is not ensured. This constitutes, according to law, a conflict of interest on the part of the Distributor and the responsible editor, which we hereby expressly point out.
We point out that the clients (third parties) of the publication by the Distributor, their bodies, significant shareholders, as well as affiliated parties (third parties) may hold shares of the issuer discussed in this publication at the time of this publication. The clients and third parties may intend to sell these securities in direct connection with this publication and to participate in rising prices and trading volumes or to acquire additional securities at any time.
The Distributor therefore acts in cooperation with and on behalf of compensated orders from other persons who may hold significant share positions of the discussed issuer. This constitutes, by law, a conflict of interest, which we hereby expressly point out. Neither the Distributor nor the responsible editor are involved in the described possible sale/purchase activities. The issuer also has no influence on such potential share sales and purchases by clients and third parties.
The Distributor is prohibited from holding securities of the issuer or in any way trading with them. The Distributor of the communication neither directly nor indirectly (for example via affiliated companies, in coordinated manner) holds share positions of the discussed issuer. Furthermore, the compensation of the Distributor for the communication is neither directly linked to financial transactions nor to stock exchange turnover or asset management fees.
Neither the Distributor nor a company affiliated with it, nor a person involved in the preparation (nor their closely associated persons), nor persons who had or could have had access to the communication before distribution, hold a net short or net long position exceeding the threshold of 0.5% of the issuer’s total issued share capital. Likewise, the person(s) do not hold more than 5% of the issuer’s total issued share capital, have not been lead or co-lead during the previous twelve months in any public issuance of the issuer’s financial instruments, have not been market makers or liquidity providers in the issuer’s financial instruments, and have not entered into an agreement with the issuer for the provision of investment services under Annex I Sections A and B of Directive 2014/65/EU that was valid in the previous twelve months or where a performance or promise of performance existed in that period.

Information sources: Information sources of the Distributor and creator are data and information of the issuer, domestic and foreign business press, information services, news agencies (eg, Reuters, Bloomberg, Infront, etc.), analyzes and publications on the internet. Because other research firms and market letters may also discuss the stock, there may be symmetrical information and opinion generation during the recommendation period.
Naturally, it must be noted that the issuer is listed in the highest possible risk class for stocks. The issuer may have no revenue yet and is at the early-stage level, which is risky. The financial situation of the company is still deficient, which significantly increases the risks. Additionally, capital increases that may become necessary could lead to short-term dilution effects that may burden investors. If the issuer does not succeed in securing further financial resources in the coming years, insolvency and a delisting/cessation of trading could threaten.
The background information, market assessments and securities analyze published by the Distributor on its websites and in its newsletters do not constitute a sales offer for the securities discussed nor a solicitation to buy or sell securities. The statements are based on sources that the publisher deems trustworthy. Nevertheless, liability for financial losses that may result from using the statements or stock discussions for one’s own investment decision is excluded without exception.
We remind you that stock investments are always associated with risk. Every transaction involving warrants, leveraged certificates or other financial products carries extremely high risks. Due to political, economic or other changes, significant price losses may occur, in the worst case a total loss of the invested capital. For derivative products, the likelihood of extreme losses is at least as high as for small-cap stocks, and even large domestic and foreign stocks can suffer severe price losses up to total loss. You should seek further advice before every investment decision (eg, from your bank or a trusted advisor).
Although the valuations and statements contained in the Distributor’s communications and market assessments have been prepared with appropriate care, we assume no responsibility or liability for errors, omissions, or incorrect information. This also applies to all representations, numbers, and assessments expressed by our discussion partners in interviews.
All risk arising from the use or performance of the service and materials remains with you, the reader. To the fullest extent permitted by applicable law, the Distributor shall not be liable for any special, incidental, or indirect damages or consequential damages (including but not limited to lost profits, business interruption, loss of business information or any other financial loss) arising from the use of or inability to use the service and materials.
All statements in this report regarding the issuer, except for historical facts, should be understood as forward-looking statements that may not materialize due to significant uncertainties. The statements of the creator are subject to uncertainties that should not be underestimated. There is no certainty or guarantee that the forecasts made will actually occur. Therefore, readers should not rely on the creator’s statements and should not buy or sell securities solely on the basis of reading the communication.
The Distributor’s service must therefore under no circumstances be interpreted as personal or even general investment advice. Users who make investment decisions or conduct transactions based on the information displayed or provided by the Distributor act entirely at their own risk.
All texts presented, particularly market assessments, stock evaluations and chart analyze reflect the personal opinion of the editor. They are purely individual viewpoints without any claim to a balanced examination of the subject matter.
The reader hereby assures that they use all materials and content at their own risk and that the Distributor assumes no liability.
The Distributor reserves the right to modify, improve, expand or remove the content and materials distributed by it without notice. The Distributor expressly excludes any warranty for service and materials. Service and materials and the documentation related to them are provided to you “as is,” without any warranty of any kind, neither express nor implied, including but not limited to implied warranties of fitness, suitability for a particular purpose or non-infringement.
There is no guarantee that the forecasts of the issuer, the creator or (other) experts and management will actually occur. The performance of the issuer’s stock is therefore uncertain. As with any so-called micro cap, there is also the risk of total loss here. Therefore, the stock is only suitable as a dynamic addition to an otherwise well-diversified portfolio.
The investor should follow the news situation closely and have the technical prerequisites for trading penny stocks. The market narrowness typical of the segment leads to high volatility. Inexperienced investors and low-risk investors are generally advised against investing in the issuer’s stock. The present analysis is directed exclusively at experienced professional traders.
Decisive for the assessment of an issuer is whether, in the creator’s view, its shares can move better, worse or equal compared to shares of comparable issuers from the same peer group over the following 12 months (validity period):
Sell: The term Sell means sell. The creator is of the opinion that further price gains are unlikely, a price loss may occur, or that investors should realize already achieved gains. In all these cases, he will issue the recommendation “Sell.”
Hold: The term Hold means hold. The creator sees price potential for the stock, which is why he is of the opinion that the stock should be kept in the portfolio.
Buy: The term Buy means buy. The creator expects a price increase in the stock because he currently considers it undervalued.
Strong Buy: The term Strong Buy means definitely buy and is used, for example, by the US investment firms Morgan Stanley and Salomon Brothers. The creator expects an above-average price increase compared to other companies in the same peer group.
Regardless of the assessment made, according to the sensitivity analysis, significant risks exist due to changes in the underlying assumptions. This discussion of risk factors in the analysis does not claim to be complete.
